Authorizing an amendment for the Metropolitan Council LCDA-TOD
Union Park Flats Project
Whereas, the St. Louis Park Economic Development Authority (Authority) has an active
grant agreement with the Metropolitan Council (Met Council) for a LCDA-TOD grant; and
Whereas, the grant funds will continue to be used to create affordable housing at 3700
Alabama Ave S in the City of St. Louis Park; and
Whereas, the Authority has the institutional, managerial, and financial capability to
ensure adequate project administration; and
Whereas, the Met Council has approved the Authority’s request to modify the project
deliverables; and
Now, therefore, be it resolved that the President and Executive Director are hereby
authorized to execute the amendment to the Met Council LCDA-TOD grant on behalf of the
Authority; and
Be it further resolved that the President and Executive Director are hereby authorized
to execute such agreements necessary to receive the grant and implement the project (the
grant agreement) and to carry out, on behalf of the authority, the authority’s obligations
thereunder when all conditions precedent thereto have been satisfied; and
Be it further resolved that the authority to approve, execute and deliver future
amendments to the grant agreement entered into by the authority is hereby delegated to the
President and Executive Director, subject to the following conditions: (a) extend deadlines,
amend the project budget and scope, or do not materially adversely affect the interests of the
authority; and (b) such amendments or consents do not contravene or violate any policy of the
authority. The execution of any instrument by President and Executive Director shall be
conclusive evidence of the approval of such instruments in accordance with the terms hereof.
In the event of absence or disability of the President and Executive Director any of the
documents authorized by this resolution to be executed may be executed without further act or
authorization of the Board by any member of the Board or any duly designated acting official,
or by such other officer or officers of the Authority as, in the opinion of the City Attorney, may
act in their behalf.
