The purpose for the borings will be to determine whether the soil under the underground storage tanks removed from the site in 1987 is contaminated. Attached is an access agreement that was drafted by SPS' attorney that would give SPS the right to go on to the property to do borings. This agreement has been reviewed by the EDA's attorney and found to be acceptable. OBTAIN= -{Tn MO TIO N BY 2NDBY TO A C C E S S A G R E EM E NT ) TH IS ACCESS AGRE EME NT is made this day of ' 1993, by and between the Economic Development Authority of the City of St. Louis Park (th e "EDA") and SPS Companies, Inc., a Minnesota corporation ("SPS"). RECITALS: A. The EDA owns the real property described on Exhibit A attached hereto and incorp orated herein by this reference (the "property") . B. In connection with th e redevelopment of property owned by SPS adjacent to the Property, the EDA is contemplating conveying the Property to SPS, subject to certain conditions. C. Underground storage tank s have been located previously on the Property. Prior to taking title to the Property, SPS desires to perform certain environm ental investigations. NOW, THEREFORE, for valuable consideration, th e receipt and sufficiency of which are hereby acknowledged, the parties hereby agree as follows: 1. Grant of License. The EDA hereby grants a license for SPS and its agents to enter upon the Property to conduct environmental tests, including without limitation, to drill soil borings. The EDA may revoke this license on thr ee (3) days written notice. 2. Conduct gf_Investigation. SPS shall employ competent environmental consultants to conduct the environmental tests. SPS shall pay all th e costs of perform ing the tests. SPS indemnifies the EDA for any liens filed against th e Property for unpaid costs of the environme ntal tests. SPS shall notify the EDA when tests are to be perform ed on the Property. SPS promptly will provide copies of any environmental reports to the EDA. If SPS discovers contamination on the Property, SPS shall promptly report the contamination to the EDA. Noth ing in this Agr eement shall obligate SPS to take responsibility for or to pay for any cleanup required as a result of contam ination discovered on the Property. 3. Ownership Test Work Product. SPS agrees that all environmental testing reports with respect to th e Property shall be addressed both to SPS and the EDA. It is the intent of the parties that the EDA be legally entitled to rely upon all such reports. If SPS does not acqu ire the property pursuant to the agr eement to be entered into between the ED A and SPS, then the EDA shall be entitled to the possession and own ership of copies of all reports, data, and field notes associated with such testing. At the option of the EDA and at the expense of the EDA the environmental consultants shall take split samples for all tests. One sample from each such split sample shall belong to the EDA . 200'352 K £'348= 78L01 4. Restoration. SPS shall complete use of the license and the license shall expire on November 1, 1993 unless earlier revoked. Upon completion of such tests and prior to expiration of the license, SPS shall restore the property to the condition it was in prior to the commencement of such tests. REQUEST- FOR EDA ACTION DATE Aug. 16, 1993 AGENDA SECTION: Reports NO. 5 ORIGINATING DEPARTMENT: Administration ITEM: Parking ramp - Tower Pl ace NO. 5b APPROVED: Robert Larson e Background On August 2, 1993, the EDA approved the plans and specifications for the pile foundation system for the Tower Place parking ramp and authorized staff to advertise and receive bids for that portion of the project. Since that time, City staff has continued to review the plans and specifications for the parking ramp portion of this project. The plans and specifications are being developed by Park Nicollet/Frauenshuh and HGA, Inc. and in turn will be purchased by the EDA upon conveyance of the Tower Place land from the EDA to Park Nicollet/Frauenshuh. Discussion ) At this time, the plans and specifications for the parking ramp are ready to be placed for bidding. City staff has reviewed and approved the construction plans and specifications for this portion of the project. Staff's review has included concerns and comments from the EDA, Planning Commission, neighborhood residents and neighborhood groups. These in turn have been incorporated by HGA into the plans and specifications. Some of the more immediate concerns are exterior building materials, ramp lighting and ramp security. The exterior material to be used in the ramp construction is precast concrete that matches the precast panels and sill colors of the existing Park Nicollet Clinic in St. Louis Park. Ramp lighting and ramp security are related issues. The lighting fixtures are of a type that will illuminate the ramp interior but should not spill over to adjacent properties or project into the PUBLIC WOR KS [FINANCE COMMU NITY UEVtLUH. Ramp security has been designed to exceed the City's existing ordinance and follows closely the Minneapolis ordinance which has become a national model for use in designing parking ramp security. A set of plans and specifications are available for review in Bob Larson's office. If the EDA were to authorize staff tonight to advertise for and receive bids for the parking ramp, then a recommendation for award of contract could be presented to the EDA on October 4, 1993 with a construction start to follow immediately thereafter. Recommendation: It is recommended the EDA approve the plans and specifications for the parking ramp at Tower Place and authorize and direct City staff to advertise for and receive bids for the project. Staff note: The August 2 EDA report on the piling foundation system for the parking ramp project indicated that an award of contract was to be presented to the EDA on September 7. Since the August 2 meeting, Park Nicollet and Frauenshuh have notified the City that the bond sale closing date has been moved from August 27 to September 29. Because the start of any construction on the site cannot occur until after the bond sale closing, the award of contract for the piling foundation system has been moved from September 7 to October 4, the same meeting date scheduled for award of contract for the ramp.
