LOUIS PARK, MINNESOTA December 5, 2005 1. Call to Order President Santa called the m eeting to order at 7: 15 pm. 2. Roll Call. C om m issioners present: Sue Santa, Jim Brim eyer, Jo hn Basill, Jeff Ja cobs, Phil Fink elstein, Paul Om odt and Susan Sanger. Staff present: C ity M anager (M r. H arm ening), Comm unity D evelopment D irector (M r. Locke) and Econom ic D evelopm ent Coordinator (M r. H unt). 3. Approval of Minutes - None 4. Approval of Agenda It was motioned by Commissioner Jacobs, seconded by Commissioner Sanger to approve the agenda. The motion passed 7-0. 5. Reports Sa. Motion to accept and file vendor claim report It was motioned by Commissioner Omodt, seconded by Commissioner Jacobs to accept the vendor claims for filing. The motion passed 7-0. 6. Old Business 7. New Business 7a. Purchase Agreement for 6015, 6039 Highway 7, and 3506 Wooddale Ave. (the Dworsky properties) EDA Resolution No. 05-16 M r. H un t presented the staff report . C omm issioner Sanger asked if there w ould be additional cost to remedy the pollution and w ho w as responsible fo r the added cost? M r. H unt replied staff w as unaw are of impacts until a Phase II w as done. There w ere a couple ofr em edies and they did not kn ow an exact cost. The im pacts w ere from asphalt bur ied on the site, w ith higher elevated im pacts than the State allow ed. It could be covered w ith fill m aterial, pavement, or totally rem oved fr om the site. They had been advised from the consultant, that the likely rem edy the PCA w ould allow w as a cap. In this case it w ould be the ro adw ay im provements. ED A M eeting M inutes -2- December 5, 2005 C omm issioner Sanger asked if there w as a cost for remediation gr eater than building the ro ad, w ho w as responsible? M r. H unt replied they w ould have the responsibility. They hadn't been told the cost w ould be sign ificant. C om m issioner Fink elstein stated in M r. N orton's notes, they have six months to discover any issue or rem ediation. Is there testing they should consider during that time? Mr. H unt replied duri ng the course of the next six m onths, they intended to find out more precisely from the PCA w hat the requirement w ould be. C oun cilm em ber Sanger asked if the contra ct covered the question of who would pay in the event there w ere additional costs fo r enviro nm ental remediation? M ike N orton, K enn edy & Gra ven Law Firm , responded the Dworsky family tru st sold them the pro perty in an as-is condition. The pollution w as relatively m inor and not unanticipated. The ED A w as responsible for remediation of pollution foun d in the Phase II. U nless it w as not disclosed in the Phase II, they w ould go to the seller. They believed it w ould be han dled economically by means of encapsulating the area pursuant to M PCA specifications. Costs w ould be staff time. C ouncilm em ber Sanger asked if they had a ra nge of the potential costs? Mr. Norton replied not at this tim e. Councilm em ber Om odt asked the specific chemicals they w ere talking about, it noted arsenic, chr omium , lead and m ercury. W hat portion of the asphalt was causing the pollution? M r. H unt responded those impacts w ere found in the gr ound up asphalt and w ere all elevated. C ouncilm em ber Basill felt they w ould have an opportunity to look back if they fo und things that w ere m ore serious. It was motioned by Commissioner Basill, seconded by Commissioner Brimeyer, to adopt EDA Resolution No. 05-16 approving the Purchase Agreement between the Dworsky Family Trust and the EDA for 6015, 6039 Highway 7, and 3506 Wooddale Ave. and authorize the President and Executive Director to execute the documents necessary to complete the real estate transaction .. The motion passed 7-0. 8. Communications: None 9. Adjournment It was motioned by Commissioner Jacobs, seconded by Commissioner Omodt to adjourn. The motion passed 7-0.
