HomeMy WebLinkAbout02-133 - ADMIN Resolution - City Council - 2002/11/04• • RESOLUTION NO. 02-133 A RESOLUTION PROVIDING FOR THE CHANGE IN CONTROL OF A CABLE TELEVISION FRANCHISEE Date: November 4, 2002 Motion By Councilmember Brimeyer Seconded By Councilmember Nelson Motion passed 6-0 WHEREAS, the City Council of St. Louis Park ("Franchising Authority") has granted a franchise to a subsidiary (the "Franchisee") of AOL Time Warner Inc. to provide cable television service; WHEREAS, the Franchisee and AOL Time Warner propose a corporate restructuring, and WHEREAS, federal and state law requires the Franchising Authority to review the proposed transfer to determine whether the restructured company will have the legal, technical and financial capabilities to continue to provide cable television service within the City in accordance with the terms and conditions of the existing franchise NOW, THEREFORE, THE ST. LOUIS PARK CITY COUNCIL RESOLVES AS FOLLOWS• 1. To the extent required under the terms of the Franchise and state and federal law, the City Council of St. Louis Park, Minnesota, as the Franchising Authority, authorizes and consents to the proposed change in control of the Franchisee resulting from the Transaction. 2. The Franchisee shall remain responsible for all obligations under the Franchise. 3. The foregoing consent shall be effective upon the closing of the Transaction.
