A RESOLUTION ACCEPTING A DONATION OF PRIVATE PROPERTY
FOR PUBLIC USE FROM MEDORA WOODS; LOT K,
HIGHWOOD TRACT, LAKE FOREST ADDITION
WHEREAS, there has been official notification that Medora Woods (hereinafter referred to as "Owner")
has offered to donate to the City of St. Louis Park property described as Lot K, Highwood Tract, Lake
Forest Addition, Hennepin County, except the southwesterly 30 feet thereof (hereinafter referred to as the
"Property"); and
WHEREAS, State statute requires the acceptance of donated land to be by resolution adopted by two-
thirds (5 votes) of the Council; and
WHEREAS, the Owner requests that this transaction be completed prior to December 31, 1996; and
WHEREAS, the Owner has made property tax payments on this property which is current throughout
1996 with the understanding that the City would be required to pay property taxes which become due and
payable in 1997; and
WHEREAS, the owner desires to transfer the property to the City subject to certain restrictions on use of
the property for thirty (30) years, which restrictions are subject to the City's existing easements and the
City's rights and obligations to enforce its own ordinances; and
WHEREAS, the City believes that the land to be donated is currently vacant, has not been built upon and
has not been the subject of any study, review or assessment which has indicated site contamination or any
other issue of environmental concern.
NOW THEREFORE BE IT RESOLVED by the City Council that the City of St. Louis Park hereby
accepts the donation of Lot K, Highwood Tract, Lake Forest Addition, except the southwesterly 30 feet
thereof, currently under the ownership of Medora Woods, with restrictions and subject to the conditions as
are set forth in the attached deed.
BE IT FURTHER RESOLVED that prior to December 31, 1996, the Mayor, City Manager and City
Attorney are hereby directed to proceed with the preparation and execution of documents necessary to
accept this donation.

FOR VALUABLE CONSIDERATION, Medora Woods, a single person, Grantor, hereby conveys to City of St. Louis
Park, a municipal corporation under the laws of the State of Minnesota, Grantee, real property in Hennepin County,
Minnesota, described as follows.
Lot K, Highwood Tract, Lake Forest Addition, Hennepin County, except the Southwesterly 30 feet thereof,
according to the recorded plat thereof (hereinafter referred to as the "Land");
together with all hereditaments and appurtenances belonging thereto Grantor covenants and represents that:
A. This deed conveys after-acquired property
B. Grantor has not made, done, executed or suffered any act or thing whereby the Land or any party
thereof, now or at any time hereafter, shall or may be imperiled, charged or encumbered in any manner, and Grantor will
warrant the title to the Land against all persons claiming the same from or through Grantor as a result of any such act or
thing, EXCEPT Taxes and mstallments of special assessments not yet due and payable; and Municipal building and zoning
ordinances, and Recorded easements for public utilities, roads and highways, if any, and Restrictive covenants of record. if
any.
C The existing sanitary sewer easement held by Grantee shall be, and hereby is, reconveyed by Grantor to
Grantee as a public utility easement over, under and across that same portion of the Land as the existing sanitary sewer
easement for all public utility purposes.

D This conveyance is made upon the following restrictions and conditions
1. Subject to Grantee's rights under the existing public utility easement over the Land, and subject to
Grantee's compliance with its own ordinances and regulations regarding weeds, noxious vegetation,
diseased trees and similar public health or safety concerns

The Land shall be kept in its natural state;
All current vegetation shall be retained;
No trees shall be removed except for dead trees;
The path on the Land may be maintained in its current size and location with the removal of
only such trees or vegetation as obstruct the path
2 In the event of any violation of these covenants, this transfer shall be deemed null and void and the fee
interest in the Land, subject to the existing utility easement of Grantee, shall revert to Grantor
3. These covenants shall remain in effect for a period of thirty (30) years from the date of this Deed

E This Deed shall not merge the interest of Grantee as holder of an easement over the Land with its
interest as fee title holder. In the event fee title reverts to Grantor, Grantee shall retain its easement interests
F The foregoing covenants by Grantor shall run with the Land, shall be binding upon and shall inure to the
benefit of Grantor's successors and assigns.
TOTAL CONSIDERATION FOR THIS CONVEYANCE IS LESS THAN $500.00.
GRANTOR CERTIFIES THAT GRANTOR IS UNAWARE OF ANY WELLS ON THE ABOVE-DESCRIBED
PROPERTY.
IN WITNESS WHEREOF, the Grantor has caused this Deed to be executed as of the day and year first above
written.
