SPECIAL MEETING AUGUST 26, 1954
Pursuant to written notice therefore, mailed to each Member of the Village
Council, a special meeting was called ito order by Mayor Fernstrom at 5:05 P. M.,
for the purpose of discussing and acting upon an agreement with the Minnesota
Highway Department, for the installation of traffic signals at intersection of
Wooddale Avenue with Excelsior Boulevard.
The following Council Members were present, at roll call:
Trustee Jorvig
Trustee Middleton
Clerk Justad
Mayor Fernstrom.
Resolution
On motion of Trustee Middleton, seconded by Trustee Jorvig, the following
resolution was adopted by unanimous vote of all Members of the Council present:
R E S O L U T I O N
RESOLVED by the Village Council that they enter into the following agreement
with the State of Minnesota, Department of Highways:
A G R E E M E N T
"THIS AGREEMENT made and entered into by and between the State of Minnesota,
Department of Highways, hereinafter referred to as the "STATE", and the Village of
St. Louis Park, Minnesota, hereinafter referred to as the 11VILLAGE11,
WITNESSETH:
WHEREAS, it is considered mutually desirable to place traffic-control signals
at the intersection of Woodddle Avenue and Trunk Highway No. 169, in St. Louis Park:
NOW, THEREFORE, IT IS AGREED:
1. The State shall install or cause to be installed traffic-control signals
at the above locations 'in accordance with plans and specifications prepared by the
State.
2. The actual total cost of the installation of the traffic-control signals
at the above location shall be sharedlequally by the Village and the State. It is
estimated that the cost of this installation will be $6,000.00.
3. Upon the completion of the work contemplated herein, the Village will main-
tain and keep in repair said installations and provide necessary electrical power
for their operation, all at the sole cost and expense of the Village. In addition
the Village shall provide at its own expense extensions for power supply in the event
of necessity.
4. All timing of said signals shall be determined by the State, through its
Commissioner of Highways, and no changes therein shall be made except with the
approval of the State.
5. The Village shall prevent by adequate policing any stopping, standing, or
parking of vehicles prohibited by Chapters 169.34 and 169.35, Minnesota Statutes
1953, on all Trunk Highways within its limits. It shall also prevent the installation
or cause the removal of gasoline pumps, and all other obstructions and signs pro-
hibited by Chapters 160.34 and 169.07; Minnesota Statutes 1953, upon or along any
trunk highway through the Village.
6. The Village Indemnifies, saves and holds harmless the State and all of its
agents and employees of and from any and all claims, demands, actions or causes of
action of whatsoever nature or character arising out of or by reason of the per-_
formance of any work provided for hereby by the Village, and further agrees to defent
at its sole cost and expense any action or proceeding commenced for the purpose of
asserting any claim of whatsoever character arising in-connection with or by virtue
of the maintenance work to be performed by the Village.
7. Any and all persons engaged in the aforesaid maintenance work to be per-
formed by the Village shall be considered employees of the Village and any and all
claims that may or might arise under the Workman's Compensation Act of this State
on behalf of said employees while so engaged, and any and all claims made by any
third party as a consequence of any act or omission on the part of said Village
employees while .so engaged on any of the work contemplated herein shall be the sole
obligation and responsibility of the Village."

Meeting Adjourned
On motion of Trustee Jorvig, seconded by Trustee Middleton, the meeting was
adjourned at 5:30 P. M., by unanimous vote of all Members of the Council present.
